Acceptance of Terms

These Terms of Service ("Terms") govern your use of the Juka website at gojuka.com and any services provided by Juka Digital Marketing ("Juka", "we", "us", or "our"), a company operating in Dubai, United Arab Emirates.

By accessing our website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please discontinue use of our website and services immediately. These Terms apply to all visitors, clients, and anyone who uses or accesses our services.

Our Services

Juka provides digital marketing services including but not limited to search engine optimisation (SEO), pay-per-click advertising (PPC), social media management, web design and development, and digital marketing consulting. The specific services, deliverables, timelines, and fees for each engagement are defined in a separate Service Agreement or Statement of Work provided to clients prior to commencement.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to affected clients. We also reserve the right to refuse service to anyone for any reason at our sole discretion.

Client Obligations

In order for us to deliver services effectively, clients agree to:

  • Provide accurate, complete, and timely information, materials, and access to accounts required to perform the agreed services.
  • Ensure all content, trademarks, and materials provided to Juka are owned by or licensed to the client, and do not infringe any third-party rights.
  • Notify Juka promptly of any changes to business circumstances, contact details, or relevant regulatory requirements that may affect the services.
  • Not use Juka's services to promote illegal activities, spam, malware, or any content that violates applicable UAE law or platform policies.

Payment & Fees

Fees for our services are as agreed in your Service Agreement. Unless otherwise stated:

  • Invoices are issued monthly in advance and are due within 14 calendar days of the invoice date.
  • Late payments may incur a late fee of 2% per month on the outstanding balance.
  • Juka reserves the right to suspend services if an invoice remains unpaid for more than 30 days after the due date.
  • All fees are exclusive of VAT, which will be applied where applicable at the prevailing rate.
  • Advertising spend paid directly to platforms (Google, Meta, etc.) is separate from Juka's management fees and is the client's responsibility.

Intellectual Property

Upon receipt of full payment for a deliverable, ownership of that specific deliverable (e.g. website design, written content, campaign creative) transfers to the client. Juka retains ownership of all underlying methodologies, frameworks, tools, templates, and proprietary processes used to create those deliverables.

All content on the Juka website, including text, graphics, logos, and code, remains the exclusive property of Juka and may not be reproduced or used without prior written permission.

Confidentiality

Both parties agree to keep confidential all non-public business information shared during the course of the engagement. Juka will not disclose client business data, strategies, or performance results to third parties without express consent, except as required by law. Clients agree not to share Juka's proprietary processes, methodologies, or internal pricing structures with competitors or third parties.

Limitation of Liability

To the maximum extent permitted by applicable law:

  • Juka's total liability to any client in connection with services shall not exceed the total fees paid by that client in the three months preceding the claim.
  • Juka shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, loss of business, or loss of data.
  • Juka does not guarantee specific rankings, traffic levels, conversion rates, or revenue outcomes, as digital marketing results depend on factors outside our control.

Termination

Either party may terminate a service agreement by providing 30 days' written notice. Upon termination:

  • The client remains liable for all fees incurred up to the effective date of termination.
  • Juka will transfer all completed deliverables and provide a handover of all account access within 14 days of termination.
  • Juka may terminate immediately, without notice, if a client is in breach of these Terms or engages in conduct that damages Juka's reputation or violates applicable law.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically those applicable in the Emirate of Dubai. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE. Both parties agree to attempt to resolve any dispute in good faith before pursuing formal legal proceedings.
